By accessing this site, submitting a consultation request, signing a proposal or statement of work, or otherwise using KlikWiz's services, you agree to be bound by the terms below. If you do not agree, do not use the site or the services.

Introduction & Acceptance of Terms

1.1These Terms govern your access to and use of the Site and any Services provided by KlikWiz, including web design, brand development, social media management, digital strategy, content creation, and advertising services, whether purchased through the Site, by email, by phone, through a signed proposal, or through any other means of engagement.

1.2By (a) browsing the Site, (b) submitting any form on the Site (including the "Schedule a Consultation" form), (c) communicating with a KlikWiz representative (including but not limited to Erik Bridges, Nick Brooks, Lorraine Herrera, Franklin Knight, Calvin Lewis, and Deryck Smith, or any other current or future team member), (d) signing a quote, invoice, proposal, or statement of work, or (e) making any payment to KlikWiz, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1.3If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity, in which case "you" and "Client" refer to that entity.

1.4These Terms apply in addition to, and not in place of, any separate written agreement, statement of work ("SOW"), or service order executed between you and KlikWiz. In the event of a direct conflict between these Terms and a signed SOW, the signed SOW controls solely with respect to the specific subject matter it expressly addresses; these Terms control for all other matters.

Definitions

  • "Deliverables" — any websites, designs, logos, brand guides, written content, advertisements, social media assets, strategy documents, reports, or other work product created or delivered by KlikWiz under an engagement.
  • "Client Materials" — any content, data, logos, trademarks, images, copy, credentials, or other materials provided by Client to KlikWiz for use in connection with the Services.
  • "Third-Party Platforms" — any external platforms, tools, ad networks, hosting providers, domain registrars, social media networks, or software used in connection with the Services, including but not limited to Meta/Facebook, Instagram, Google, YouTube, WordPress, and Elementor.
  • "Engagement" — any individual project, retainer, subscription, or service order between Client and KlikWiz.
  • "Personal Data" — any information relating to an identified or identifiable natural person, as further described in Section 19.

Eligibility

3.1You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract to use the Site or engage our Services.

3.2By using the Site or Services, you represent and warrant that all information you provide to us (including in the consultation scheduling form) is accurate, current, and complete, and that you will promptly update such information as necessary.

3.3We reserve the right to refuse service, terminate accounts, or cancel engagements at our sole discretion, including where we believe a prospective or current Client has provided false information, is engaged in unlawful activity, or otherwise violates these Terms.

Description of Services

4.1KlikWiz provides digital marketing and creative services, which may include, without limitation:

  • Web Design — design, development, redesign, and optimization of websites and landing pages.
  • Brand Development — logo design, brand identity, brand guidelines, naming, and positioning.
  • Social Media — content creation, posting, community management, and growth strategy across platforms.
  • Digital Strategy — marketing strategy, market research, competitive analysis, and consulting.
  • Content & Ads — copywriting, graphic design, video production, and paid advertising campaign management.

4.2The specific scope, deliverables, pricing, and timeline for any Engagement will be set out in a separate proposal, quote, invoice, or SOW. General descriptions of services on the Site — including any "see pricing" links or representative pricing — are informational only and do not constitute a binding offer until confirmed in writing by KlikWiz and accepted by Client.

4.3KlikWiz reserves the right to modify, suspend, rebrand, or discontinue any Service offering, in whole or in part, at any time, with or without notice, provided that such changes do not affect Services already paid for and actively in progress under an executed SOW.

Consultation Requests & Scheduling

5.1The Site allows prospective clients to schedule a free consultation by submitting their name, phone number, email address, service of interest, preferred team member, date, time, and any additional notes.

5.2Submitting a consultation request does not create a binding service agreement, nor does it guarantee the availability of any specific team member, date, or time slot. All requests are subject to confirmation by KlikWiz via email or phone.

5.3KlikWiz reserves the right to reschedule, decline, or cancel any consultation request at its discretion, including due to scheduling conflicts, incomplete or inaccurate information, or unavailability of staff.

5.4You agree to provide accurate contact information so that we may confirm, reschedule, or follow up on your request. KlikWiz is not responsible for missed consultations resulting from inaccurate contact details provided by you.

5.5Free consultations are offered at KlikWiz's sole discretion and may be limited in scope, duration, frequency, or availability, and may be modified or discontinued at any time without notice.

Proposals, Quotes, and Statements of Work

6.1Following a consultation, KlikWiz may provide Client with a written proposal, quote, or SOW describing the scope of Services, Deliverables, pricing, payment schedule, and estimated timeline.

6.2No Engagement is binding until both (a) KlikWiz has issued a written proposal, quote, or SOW, and (b) Client has accepted it in writing — including by electronic signature, email confirmation, or initial payment/deposit, whichever occurs first.

6.3Any changes to the scope of an Engagement after acceptance ("Change Orders") must be agreed to in writing by both parties and may result in additional fees, adjusted timelines, or both.

6.4Verbal agreements, informal chat messages, or social media communications do not modify or supersede a written SOW unless expressly confirmed in writing by an authorized KlikWiz representative.

Fees, Payment Terms, and Billing

7.1Pricing. Fees are specified in the applicable proposal, quote, invoice, or SOW. Prices are quoted in U.S. Dollars (USD) unless otherwise stated and exclude applicable taxes, duties, or government levies, which are Client's responsibility unless otherwise agreed.

7.2Deposits. Many Engagements require a non-refundable deposit prior to commencement of work. Work will not begin until the deposit has been received and cleared.

7.3Invoicing. Invoices are due upon receipt unless otherwise specified. Recurring/retainer Services are billed in advance and renew automatically until cancelled under Section 8.

7.4Late Payments. Any invoice unpaid after fifteen (15) calendar days is delinquent. KlikWiz may: (a) charge interest at the lesser of 1.5% per month or the maximum legal rate; (b) suspend work, hosting, ad spend, or access to Deliverables; and/or (c) terminate the Engagement for cause.

7.5Payment Methods. Accepted methods are specified on invoices and may include card, ACH, wire, or third-party processors. Client bears any related bank or processor fees.

7.6Ad Spend & Pass-Through Costs. Advertising, hosting, domains, stock assets, and premium plugins/themes are billed separately from service fees unless stated otherwise. Client authorizes KlikWiz to incur such costs up to any pre-agreed budget.

7.7Disputed Charges. Client must notify KlikWiz in writing within thirty (30) days of the invoice date, or the charge is deemed accepted.

7.8Taxes. Client is responsible for sales, use, VAT, withholding, or similar taxes, excluding taxes on KlikWiz's net income.

Refunds and Cancellations

8.1General Policy. Except as expressly stated in a signed SOW or required by law, all fees paid to KlikWiz — including deposits, retainer payments, and Pass-Through Costs already incurred or committed — are non-refundable.

8.2Project-Based Engagements. If Client terminates a project early, Client pays for work performed up to that date on a pro-rata or time-and-materials basis (whichever is greater); the deposit is applied toward such amounts and is non-refundable beyond that.

8.3Retainer/Subscription Services. These may be cancelled by either party with thirty (30) days' written notice prior to the next billing cycle, unless a longer minimum term applies. No partial-month refunds are issued for mid-cycle cancellations.

8.4Quality Disputes. Client must notify KlikWiz of any deficiency within the revision period in the SOW (or fourteen (14) days of delivery if none specified). KlikWiz will remedy legitimate, documented deficiencies but is not obligated to refund Deliverables that substantially conform to the agreed scope.

8.5Chargebacks. Initiating a chargeback without first attempting direct resolution is a material breach and may result in suspension of Services, forfeiture of undelivered Deliverables, and collection action.

Client Responsibilities and Cooperation

9.1Client agrees to provide, in a timely manner, all Client Materials, approvals, feedback, access credentials, and information reasonably necessary for KlikWiz to perform the Services.

9.2Client represents and warrants that it owns or has obtained all necessary rights, licenses, and consents for all Client Materials, and that they do not infringe any third party's rights.

9.3Delays caused by Client's failure to provide timely feedback, approvals, content, or access may result in adjusted timelines and, where applicable, additional fees.

9.4Client is solely responsible for the accuracy, legality, and compliance of any content, products, services, claims, or offers KlikWiz is asked to design, write, advertise, or publish on Client's behalf.

10

Project Timelines, Revisions, and Delays

10.1Timelines and delivery dates are good-faith estimates only and not guaranteed unless explicitly designated as a binding deadline in a signed SOW.

10.2Included revision rounds are specified in the SOW. Additional revisions beyond that scope may be billed at KlikWiz's then-current rate.

10.3KlikWiz is not responsible for delays caused by: (a) Client's failure to provide timely feedback or materials; (b) Third-Party Platform outages, policy changes, or API limits; (c) force majeure events (Section 29); or (d) Client-requested Change Orders.

11

Intellectual Property Rights

11.1KlikWiz Pre-Existing IP. KlikWiz retains all rights to tools, templates, frameworks, methodologies, and proprietary materials developed prior to or independent of the Engagement ("KlikWiz IP"), regardless of whether incorporated into Deliverables.

11.2Client Materials. Client retains all rights in Client Materials and grants KlikWiz a non-exclusive, worldwide, royalty-free license to use them solely to perform the Services.

11.3Deliverables. Subject to full payment, KlikWiz assigns to Client all rights in final, agreed Deliverables, excluding: (a) KlikWiz IP; (b) Third-Party Platform elements (themes, plugins, stock assets, fonts) subject to their own licenses; and (c) unused preliminary concepts or design directions, which remain KlikWiz's property.

11.4License for Unpaid Work. Until all fees are paid in full, all Deliverables remain KlikWiz's exclusive property, and Client receives no license to use, publish, or display them. KlikWiz may withhold source files and credentials until payment is received.

11.5Portfolio Rights. Subject to Sections 16 and 18, KlikWiz may display Deliverables in its portfolio and marketing materials unless Client opts out in writing.

11.6Open-Source Components. Open-source software, plugins, or themes incorporated into Deliverables remain subject to their original licenses (e.g., GPL, MIT).

Third-Party Platforms, Tools, and Vendors

12.1Services may require Third-Party Platforms, including CMSs (e.g., WordPress, Elementor), hosting providers, domain registrars, ad platforms (e.g., Meta Ads, Google Ads), email tools, and social networks.

12.2KlikWiz does not own or control Third-Party Platforms and is not responsible for their availability, performance, pricing, or policy changes. Client's use of these platforms is subject to their own terms.

12.3Where KlikWiz creates or manages accounts on Client's behalf, ownership should remain with Client, and KlikWiz will use commercially reasonable efforts to ensure Client retains administrative access.

12.4KlikWiz is not liable for suspension, banning, demonetization, or removal of Client accounts by any Third-Party Platform, except where caused by KlikWiz's gross negligence or willful misconduct.

13

Advertising and Marketing Services Disclaimer

13.1No Guaranteed Results. KlikWiz does not guarantee specific traffic, leads, conversions, sales, rankings, engagement, follower growth, or ROI. Performance depends on factors outside KlikWiz's control, including market conditions, competition, and platform algorithm changes.

13.2Ad Account Compliance. Client is responsible for ensuring its products and practices comply with platform advertising policies and applicable law (e.g., truth-in-advertising, FTC disclosures, industry-specific regulations).

13.3Algorithm Changes. KlikWiz is not responsible for performance fluctuations resulting from platform algorithm or policy changes.

13.4SEO Disclaimer. SEO is an ongoing, long-term process. No guarantee is made regarding specific keyword rankings, indexing timeframes, or traffic levels.

Social Media Management Disclaimer

14.1Where KlikWiz provides social media services, Client grants KlikWiz the access and permissions needed to post content and manage the relevant account(s) within the agreed scope.

14.2Client is responsible for promptly reviewing and approving content where an approval workflow is part of the process. KlikWiz is not liable for content published per an approved calendar or approved drafts.

14.3KlikWiz is not responsible for third-party actions on Client's accounts — negative comments, impersonation, hacking, or unauthorized access not caused by KlikWiz's negligence.

14.4Follower counts, likes, shares, and similar metrics are influenced by platform algorithms and user behavior and are not guaranteed.

15

Website Hosting, Maintenance, and Domain Services

15.1Hosting, domain, and maintenance Services are generally subscription-based and subject to the underlying provider's terms in addition to these Terms.

15.2Client is responsible for timely renewal of domains/hosting it manages directly. Where KlikWiz manages renewals, failure to pay may result in suspension or loss of the website/domain, for which KlikWiz bears no liability.

15.3KlikWiz recommends Client maintain its own backups. KlikWiz does not guarantee against data loss from server failure, hacking, or third-party plugin vulnerabilities.

15.4Upon termination of hosting/maintenance, KlikWiz will reasonably assist migration to a new host once outstanding fees are paid; this may incur additional fees if outside original scope.

16

Confidentiality

16.1Each party agrees to keep confidential any non-public information disclosed by the other in connection with the Engagement ("Confidential Information"), used solely to perform or receive the Services.

16.2Confidential Information excludes information that: (a) becomes public through no fault of the receiving party; (b) was already known prior to disclosure; (c) is independently developed; or (d) must be disclosed by law or court order.

16.3This Section survives termination for three (3) years, except trade secrets, which remain protected as long as they qualify as such under applicable law.

17

User Conduct and Prohibited Activities

17.1You agree not to use the Site or Services to:

  • Violate any applicable law or regulation;
  • Infringe the intellectual property or privacy rights of any third party;
  • Transmit viruses, malware, or other harmful code;
  • Attempt unauthorized access to KlikWiz's systems or those of any other user;
  • Submit false or fraudulent information through any Site form;
  • Use bots or scrapers without our prior written consent;
  • Harass, threaten, defame, or abuse KlikWiz personnel or other users;
  • Disable, impair, or interfere with the Site or others' use of it.

17.2KlikWiz may investigate and pursue legal action against violations, including removing content, suspending access, and reporting to law enforcement.

18

Testimonials, Case Studies, and Portfolio Use

18.1By providing a testimonial or review, you grant KlikWiz a perpetual, worldwide, royalty-free license to use it — including your name, business name, and likeness/logo — in marketing materials, unless you request otherwise in writing.

18.2Unless designated confidential, KlikWiz may reference Client's name, logo, and a general description of Services in its portfolio, case studies, and new-business proposals.

19

Privacy Policy

This Privacy Policy explains how KlikWiz collects, uses, discloses, and protects information when you visit the Site, submit a consultation request, or otherwise interact with us.

19.1 — Information We Collect

(a) Provided directly:

  • Name, phone number, and email address (e.g., the "Schedule a Consultation" form);
  • Service interest, preferred team member, date/time, and notes you submit;
  • Billing and payment information (processed via third-party processors);
  • Business information, brand assets, credentials, and materials shared during an Engagement;
  • Correspondence via email, phone, or contact forms.

(b) Collected automatically:

  • IP address, browser type, device, operating system;
  • Pages visited, time on page, referring/exit URLs, click data;
  • Cookie and tracking data (see Section 20).

(c) From third parties:

  • Information from social platforms when you interact with our pages or ads;
  • Information from analytics/advertising partners (e.g., Google Analytics, Meta Pixel).

19.2 — How We Use Information

  • Respond to and schedule consultation requests;
  • Provide, operate, and improve the Services and Site;
  • Process payments and manage billing;
  • Communicate about your Engagement, including updates and invoices;
  • Send marketing communications, subject to your opt-out rights (19.5);
  • Personalize and improve user experience;
  • Analyze Site usage and campaign effectiveness;
  • Detect and address fraud, security, or technical issues;
  • Comply with legal obligations and enforce these Terms.

19.3 — Legal Bases (EU / UK / EEA)

Where required, KlikWiz processes Personal Data on the basis of: (a) contract performance; (b) legitimate interests; (c) consent; and (d) legal compliance.

19.4 — How We Share Information

  • Service providers — hosting, payment processing, email marketing, analytics, scheduling tools;
  • Advertising/analytics partners — e.g., Meta, Google;
  • Professional advisors — accountants, lawyers, auditors;
  • Successors — in a merger, acquisition, or sale of business;
  • Law enforcement/regulators — where legally required.

We do not sell Personal Data for monetary consideration. Where privacy laws define "sale" or "sharing" more broadly (e.g., CCPA), see Section 22 for opt-out rights.

19.5 — Marketing Communications

Opt out anytime via the "unsubscribe" link or by emailing info@klikwiz.com. This does not affect transactional communications tied to an active Engagement.

19.6 — Data Retention

We retain Personal Data as long as necessary for the purposes above. Consultation submissions that don't lead to an Engagement are generally retained up to twenty-four (24) months, then deleted or anonymized.

Cookies and Tracking Technologies

20.1The Site uses cookies, web beacons, pixels, and similar technologies ("Cookies") to operate the Site, remember preferences, analyze traffic, and deliver targeted advertising.

  • Strictly Necessary — required for the Site to function (form submission, security).
  • Performance / Analytics — understand visitor behavior (e.g., Google Analytics).
  • Functional — remember preferences and settings.
  • Advertising / Targeting — deliver relevant ads and measure campaigns (e.g., Meta Pixel, Google Ads).

20.3You can control Cookies via browser settings; disabling some may affect Site functionality. Where required, we request consent before placing non-essential Cookies.

20.4Third-party advertising partners may use their own Cookies, governed by their own privacy policies.

21

Data Security

21.1KlikWiz implements reasonable administrative, technical, and physical safeguards to protect Personal Data, commensurate with its sensitivity.

21.2No method of internet transmission or storage is 100% secure. We cannot guarantee absolute security; you provide information at your own risk.

21.3In the event of a breach, we will notify affected individuals and authorities as required by law.

21.4Client is responsible for safeguarding credentials and account access, and for promptly reporting suspected unauthorized access.

Data Subject Rights (GDPR, CCPA, and Other Regimes)

22.1EU / UK / EEA (GDPR). You may have rights to access, correct, delete, restrict, object to, or port your Personal Data, and to withdraw consent. You may also lodge a complaint with your local data protection authority.

22.2California (CCPA/CPRA). You may have rights to know, delete, and correct your Personal Information; opt out of "sale" or "sharing" (including cross-context behavioral advertising); limit use of sensitive Personal Information; and not be discriminated against for exercising these rights.

22.3Other Jurisdictions. Residents of other U.S. states or countries (e.g., Virginia, Colorado, Connecticut, Canada's PIPEDA) may have similar rights under applicable law.

22.4How to Exercise Rights. Email info@klikwiz.com with subject line "Privacy Request." We respond within the timeframe required by law (generally 30–45 days) and may need to verify your identity.

22.5Authorized Agents. You may designate an agent to submit requests on your behalf, subject to verification.

Children's Privacy

The Site and Services are not directed to individuals under 18 (or the applicable age of majority). We do not knowingly collect Personal Data from children. If we learn we've inadvertently collected such data without appropriate consent, we will delete it promptly. Contact info@klikwiz.com if you believe a child has provided us with Personal Data.

International Data Transfers

KlikWiz may process and store information in the United States or other countries where we or our service providers operate. If you are located outside the U.S., your Personal Data may be transferred to and processed in a country with different data protection laws. Where required, we implement appropriate safeguards such as standard contractual clauses.

25

Disclaimers of Warranties

25.1 The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

25.2 KlikWiz does not warrant that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) defects will be corrected; (c) the Site is free of viruses; or (d) the Services will meet Client's subjective expectations or achieve any particular business result, traffic, leads, sales, or revenue.

25.3Any material downloaded through use of the Site is done at your own risk; you are solely responsible for any resulting damage or data loss.

25.4Some jurisdictions do not allow exclusion of certain warranties — in such cases, warranties are limited to the minimum scope and duration permitted by law.

26

Limitation of Liability

26.1 To the fullest extent permitted by law, KlikWiz and its officers, directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, goodwill, data, or business opportunity — arising from your use of the Site or Services, regardless of theory of liability, even if advised of the possibility of such damages.

26.2KlikWiz's total aggregate liability shall not exceed the total amount actually paid by Client for the specific Services giving rise to the claim during the three (3) months preceding the event giving rise to the claim.

26.3These limitations apply regardless of advice of possible damages and notwithstanding any failure of essential purpose of a limited remedy.

26.4Nothing here limits liability that cannot be limited under applicable law, including for death, personal injury, or fraud caused by KlikWiz's negligence.

27

Indemnification

You agree to defend, indemnify, and hold harmless KlikWiz and its officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site or Services; (b) your violation of these Terms; (c) Client Materials, including any infringement claim; (d) Client's products, services, or marketing claims; or (e) your violation of applicable law or third-party rights.

Term and Termination

28.1These Terms remain in effect for as long as you use the Site or receive Services, and govern subsequent Engagements unless expressly superseded.

28.2Either party may terminate for cause if the other materially breaches and fails to cure within fifteen (15) days of written notice.

28.3KlikWiz may immediately suspend or terminate Services for: (a) non-payment; (b) violation of Section 17; (c) unlawful activity; or (d) conduct exposing KlikWiz to legal or reputational risk.

28.4Upon termination: (a) Client remains responsible for fees incurred to date; (b) KlikWiz delivers paid-for, completed Deliverables, subject to Section 11.4; (c) Payment, IP, Confidentiality, Disclaimers, Liability, Indemnification, and Dispute Resolution provisions survive.

29

Force Majeure

KlikWiz shall not be liable for failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, governmental action, labor disputes, internet/telecom failures, power outages, or changes to Third-Party Platforms.

30

Dispute Resolution and Arbitration

30.1Informal Resolution. Before formal proceedings, the parties agree to negotiate in good faith for at least thirty (30) days.

30.2Binding Arbitration. Unresolved disputes shall be resolved by binding arbitration rather than in court, except either party may bring a qualifying claim in small claims court.

30.3 To the extent permitted by law, any proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

30.4Exceptions. Either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.

30.5Where mandatory consumer protection law renders this provision unenforceable, disputes proceed in the courts identified in Section 31, with this Section modified to the minimum extent necessary.

Governing Law and Jurisdiction

These Terms are governed by the laws of the jurisdiction in which KlikWiz is established, without regard to conflict-of-laws principles, except where mandatory consumer protection laws of Client's jurisdiction apply. Subject to Section 30, the parties consent to the exclusive jurisdiction and venue of the courts in that jurisdiction for disputes not subject to arbitration.

Electronic Communications and Signatures

You consent to receive communications from KlikWiz electronically, and agree such communications satisfy any legal writing requirement. Electronic signatures — including click-to-accept, typed signatures, or e-signature platforms — have the same legal effect as handwritten signatures.

Accessibility

KlikWiz is committed to making the Site accessible to all users. If you experience difficulty accessing any part of the Site or require an alternative format, contact info@klikwiz.com and we will make reasonable efforts to assist you.

Severability

If any provision is found unlawful, void, or unenforceable, it shall be severable without affecting the validity of the remaining provisions, which remain in full force. The unenforceable provision will be replaced with one most closely reflecting the original intent.

Assignment

Client may not assign or transfer rights or obligations under these Terms without KlikWiz's prior written consent. KlikWiz may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Entire Agreement

These Terms, together with any signed proposal, quote, or SOW, constitute the entire agreement between you and KlikWiz and supersede all prior or contemporaneous understandings, written or oral.
